1. Acceptance of These Terms

These Terms of Service (these "Terms") constitute a legally binding agreement between you and Sometime Inc., a Delaware corporation ("Sometime," the "Company," "we," "us," or "our"), governing your access to and use of the Sometime mobile application, the websites located at sometimeirl.com and partysometime.com, and all related services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service — including by opening an invite link, submitting an RSVP through our web pages, or participating in a plan's web chat without a registered account — you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and SMS Terms, which are incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY. SECTION 21 CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. PLEASE REVIEW SECTION 21 CAREFULLY, INCLUDING THE PROCEDURE FOR OPTING OUT OF ARBITRATION.

2. Eligibility

To create an account or use the Service, you represent and warrant that:

The Service is not directed to persons under 18. We do not knowingly collect personal information from, or permit use of the Service by, any person under 18 years of age. If we become aware that a user is under 18, we will terminate the account.

3. Account Registration and Security

Registration requires a verified telephone number, which is confirmed by a one-time code. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@sometimeirl.com of any unauthorized access to or use of your account. Sometime is not liable for any loss or damage arising from unauthorized use of your account.

Telephone numbers on the Service are verified by possession. If another person subsequently verifies possession of the telephone number associated with your account, that number may be disassociated from your account.

You may not transfer, sell, or assign your account to any other person.

4. The Service

The Service is a social coordination platform. It enables users to plan and organize in-person social activities — including gatherings, meals, events, and parties — with other users and invitees, assisted by an artificial-intelligence agent that provides suggestions regarding venues, events, times, and attendees, and facilitates related communications.

Sometime is a technology platform only. Sometime does not own, operate, control, inspect, endorse, or vet any venue, restaurant, event, or other establishment or experience referenced or suggested through the Service, all of which are owned and operated by independent third parties. Sometime is not a party to, and disclaims all responsibility for, any interaction, transaction, reservation, purchase, or attendance arising out of or relating to such third parties.

When the Service provides a reservation, booking, or ticketing link, that link directs you to an independent third-party platform (which may include, without limitation, OpenTable, Resy, Tock, SevenRooms, Ticketmaster, SeatGeek, or Eventbrite). Any reservation made or ticket purchased is a transaction solely between you and the applicable third party, subject to that third party's terms and policies. Sometime is not a party to any such transaction, receives no responsibility for it, and makes no representation or warranty regarding availability, pricing, fulfillment, or quality.

Certain venues, events, and purchases may be age-restricted. By engaging with any age-restricted venue, event, or purchase, you represent that you satisfy the applicable legal age requirement. Verification of age and admission decisions are the sole responsibility of the applicable venue or provider.

5. Artificial Intelligence; No Reliance

The Service incorporates generative artificial-intelligence features. You acknowledge and agree that:

6. Interactions With Other Users; No Background Checks; Assumption of Risk

YOU UNDERSTAND AND AGREE THAT SOMETIME DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR IDENTITY VERIFICATION CHECKS ON ITS USERS, AND DOES NOT OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS USERS. SOMETIME MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, INTENTIONS, LEGITIMACY, OR TRUTHFULNESS OF ANY USER.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS AND WITH ANY OTHER PERSONS YOU COMMUNICATE OR MEET WITH AS A RESULT OF YOUR USE OF THE SERVICE, INCLUDING AT ANY EVENT, PLAN, PARTY, OR GATHERING ARRANGED THROUGH THE SERVICE. THE SERVICE FACILITATES IN-PERSON MEETINGS; YOU ASSUME ALL RISKS ASSOCIATED WITH ATTENDING ANY SUCH MEETING OR EVENT, INCLUDING RISKS OF PERSONAL INJURY, PROPERTY DAMAGE, AND INTERACTIONS WITH OTHER ATTENDEES, WHETHER OR NOT SUCH ATTENDEES ARE REGISTERED USERS OF THE SERVICE.

You agree to take reasonable precautions in all interactions with other users, particularly when meeting in person. You should not provide financial information or transfer funds to other users.

7. Hosting; Events

If you host, organize, or invite others to an event, plan, or party using the Service, you are solely responsible for that event, including compliance with all applicable laws, permits, venue rules, age restrictions (including with respect to alcohol), and the safety and conduct of the event. Sometime does not supervise, sponsor, endorse, or assume any responsibility for any event arranged through the Service.

8. Text Messaging

Certain features of the Service send SMS messages to telephone numbers that you supply, including invitation and notification messages directed to persons who are not registered users. By using such features:

9. User Content; License Grant

"User Content" means all content you submit to the Service, including messages, photographs, videos, profile information, plan and event descriptions, preferences, and any other materials.

You retain ownership of your User Content. By submitting User Content, you grant Sometime a worldwide, non-exclusive, royalty-free, sublicensable, and transferable right and license to host, store, use, copy, reproduce, process, adapt, modify, reformat, publish, transmit, display, and distribute such User Content for the purposes of operating, providing, improving, promoting (solely with your prior consent for promotional uses identifying you), and developing the Service. With respect to User Content that has been shared with other users (for example, messages delivered to a group or content associated with an event attended by others), this license continues after your account is deleted to the extent necessary to preserve the integrity of those users' experience of the Service.

You represent and warrant that: (a) you own or have all rights necessary to grant the license above; and (b) your User Content does not violate these Terms, applicable law, or the rights of any third party.

We may, but are not obligated to, monitor, review, screen, or remove any User Content at any time and for any reason, without notice.

10. Aggregated and De-Identified Data

Sometime may create, derive, and use aggregated, anonymized, or de-identified data from use of the Service for any lawful business purpose, including analytics and Service improvement, provided such data does not identify you.

11. Feedback

If you submit suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you grant Sometime an unrestricted, perpetual, irrevocable, royalty-free right to use such Feedback for any purpose without compensation or attribution.

12. Prohibited Conduct

You agree that you will not, directly or indirectly:

We may investigate and take any available legal action in response to suspected violations, including suspension or termination of your account and referral to law enforcement.

13. Intellectual Property; License to You

The Service, including its software, design, text, graphics, trademarks, service marks, and logos (excluding User Content), is owned by Sometime Inc. or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, Sometime grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the application on devices that you own or control, and to access and use the Service, solely for your personal, non-commercial use. All rights not expressly granted are reserved.

Sometime respects the intellectual-property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA").

If you believe that content on the Service infringes your copyright, please send a written notification to our designated agent at legal@sometimeirl.com (subject line: "DMCA Notice") that includes: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it; (3) your name, address, telephone number, and email address; (4) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; (5) a statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (6) your physical or electronic signature.

We may remove or disable access to allegedly infringing material, may notify the user who posted it, and will terminate the accounts of repeat infringers in appropriate circumstances. If you believe material you posted was removed in error, you may submit a counter-notification meeting the requirements of 17 U.S.C. § 512(g)(3) to the same address.

15. Third-Party Services and Content

The Service may contain links to, or integrate with, third-party websites, applications, and services, and may display content supplied by third parties (including venue and event information). Sometime does not control and is not responsible for any third-party services or content, makes no warranties regarding them, and your use of them is at your own risk and subject to the applicable third party's terms and privacy policies.

16. Beta Service

You acknowledge that the Service is currently offered in a pre-release ("beta") form. The Service may contain errors, may be modified, suspended, reset, limited, or discontinued in whole or in part at any time without notice, and features available today may be changed or removed. WITHOUT LIMITING SECTION 18, ALL BETA FEATURES ARE PROVIDED "AS IS" AND YOUR USE OF THEM IS AT YOUR SOLE RISK.

17. Term; Termination

These Terms remain in effect while you use the Service. You may discontinue use and request deletion of your account at any time in the application or by emailing legal@sometimeirl.com.

Sometime may suspend or terminate your account or your access to all or part of the Service at any time, with or without notice, for any reason or no reason, including for violation of these Terms, conduct that creates risk or possible legal exposure for Sometime or any person, extended inactivity, or discontinuation of the Service. Sometime shall have no liability to you for any suspension or termination.

Upon termination, all licenses granted to you under these Terms terminate. Provisions that by their nature should survive termination — including Sections 5, 6, 9 (with respect to shared User Content), 10, 11, 18, 19, 20, 21, 22, 23, and 25 — survive.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOMETIME EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

SOMETIME DOES NOT REPRESENT OR WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) ANY CONTENT, INFORMATION, OR OUTPUT (INCLUDING AI-GENERATED OUTPUT) OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR (D) ANY VENUE, EVENT, USER, OR THIRD PARTY YOU ENCOUNTER THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS OR BEHAVE IN ANY PARTICULAR MANNER.

SOMETIME ASSUMES NO RESPONSIBILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY POSTS, SENDS, OR RECEIVES THROUGH THE SERVICE, NOR FOR THE CONDUCT, ONLINE OR OFFLINE, OF ANY USER OR THIRD PARTY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOMETIME INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE OF OR INABILITY TO USE THE SERVICE — INCLUDING, WITHOUT LIMITATION, DAMAGES FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO ANY EVENT, PLAN, PARTY, MEETING, OR OTHER IN-PERSON INTERACTION ARRANGED, FACILITATED, OR SUGGESTED THROUGH THE SERVICE, OR ANY CONDUCT OF ANY USER OR THIRD PARTY — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SOMETIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOMETIME'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS PAID BY YOU TO SOMETIME, IF ANY, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

20. Indemnification

You agree to indemnify, defend, and hold harmless Sometime Inc. and its officers, directors, employees, agents, and licensors from and against any and all complaints, demands, claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or of any applicable law; (d) your violation of the rights of any third party; or (e) any event, plan, party, or gathering that you arrange, host, organize, invite others to, or attend using the Service.

21. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal resolution. Before initiating any arbitration or proceeding, you and Sometime agree to first attempt to resolve any dispute informally: the party raising the dispute must send a written notice describing the dispute to the other party (to Sometime: legal@sometimeirl.com), and the parties shall attempt in good faith to resolve the dispute within sixty (60) days of the notice.

Agreement to arbitrate. Except as provided below, you and Sometime agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Arbitration shall be conducted in the county in which you reside or another mutually agreed location, or remotely.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights.

CLASS ACTION AND JURY TRIAL WAIVER. YOU AND SOMETIME EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES SHALL BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES ONLY. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

Opt-out. You may opt out of this arbitration agreement by emailing legal@sometimeirl.com with the subject line "Arbitration Opt-Out," including your name and the telephone number associated with your account, within thirty (30) days of first accepting these Terms. Opting out of arbitration does not affect any other provision of these Terms.

Severability. If any portion of this Section 21 is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than in arbitration.

22. Governing Law; Venue

These Terms and any Dispute are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 21. For any Dispute not subject to arbitration, you and Sometime consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California.

23. Time Limitation on Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUED; OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

24. Apple App Store Terms

If you access the Service through an application obtained from Apple's App Store (including TestFlight), the following additional terms apply: (a) these Terms are between you and Sometime only, not Apple, and Apple is not responsible for the Service; (b) Apple has no obligation to furnish maintenance or support for the application; (c) in the event of any failure of the application to conform to an applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the application; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application; (d) Apple is not responsible for addressing any claims by you or any third party relating to the application, including product-liability claims, claims that the application fails to conform to legal or regulatory requirements, and claims under consumer-protection or similar legislation; (e) in the event of any third-party claim that the application infringes intellectual-property rights, Sometime, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim; and (f) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

25. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means, and will update the "Last updated" date above. Changes become effective upon posting unless otherwise stated. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
